Bylaws of Melissa Multisport Club, a program of BAUSEA, adopted under the authority of BAUSEA's board of directors.

Article 1 — Name and status

1.1 The club is called Melissa Multisport Club ("the club").

1.2 The club is a program of BAUSEA, a Texas domestic nonprofit corporation (Texas Secretary of State file number 806793296, Certificate of Formation effective September 11, 2026). The club is not a separate legal entity. Its contracts, accounts and liabilities are BAUSEA's.

1.3 BAUSEA has no members. In these bylaws, "member" means a registered player and that player's family as participants in the club program. Club membership confers no membership, voting right or ownership interest in BAUSEA.

Article 2 — Purpose

2.1 Consistent with BAUSEA's charitable and educational purposes, the club provides organized, coached, affordable soccer, volleyball and basketball for boys and girls aged 6 to 18 in and around Melissa, Texas, and develops fitness, teamwork, discipline and leadership.

2.2 The club operates on a nonprofit basis. No part of its income benefits any individual except as reasonable payment for services actually provided to the club.

Article 3 — Governance

3.1 BAUSEA's board of directors has final authority over the club.

3.2 The board appoints a Club Director, who runs the club day to day and reports to the board.

3.3 The Club Committee advises the director and consists of the Club Director, one lead coach for each sport, a Safeguarding Officer, a Treasurer, and one parent representative chosen by registered families each season.

3.4 The committee meets at least once a month during the season. A majority of its members is a quorum. It keeps minutes and provides them to the board.

3.5 A committee member with a personal or financial interest in a matter declares it and does not vote on it.

Article 4 — Coaches and volunteers

4.1 Before working with players, every coach and regular volunteer must pass a criminal background check, complete abuse-prevention and safeguarding training, and agree to the code of conduct.

4.2 Lead coaches hold current first aid and CPR certification and complete concussion-awareness training.

4.3 No adult is alone with a single player out of sight of others. At least two screened adults are present at every session.

4.4 Coaches may be paid from membership fees at rates set by the Club Director within the budget approved by the board.

Article 5 — Membership

5.1 Membership is open to any child aged 6 to 18 whose parent or guardian completes registration, accepts the membership rules and pays the monthly fee. The club does not discriminate on the basis of race, color, religion, sex, national origin, disability or family income.

5.2 Players train in age groups: 6 to 9, 10 to 13, and 14 to 18. A player's group is set by age at registration and reviewed each January 1. The Club Director may move a player to another group for safety or development, after speaking with the family.

5.3 Members follow the membership rules, which form part of these bylaws.

Article 6 — Finances

6.1 The membership fee is set by the board and is currently $150 per month. Fees pay for coaching, jerseys and equipment, facility costs and the administration and bookkeeping of the club.

6.2 All club money is received into and paid from BAUSEA's accounts. No club funds are held in personal accounts.

6.3 The Treasurer records every receipt and payment, reconciles the accounts monthly, and reports to the committee each month. Payments over $500 need approval from two people, one of whom is the Club Director.

6.4 A summary of income and spending is shared with registered families at the end of each season.

6.5 The committee may waive or reduce fees for families in need. These decisions are confidential.

Article 7 — Discipline and appeals

7.1 Breaches of the code of conduct or membership rules may lead to, in order of seriousness: a verbal warning, a written warning, removal from a session, suspension from training for a set period, or termination of membership. Serious misconduct may lead directly to suspension.

7.2 Before a suspension or termination, the family is told the reason in writing and may respond.

7.3 A family may appeal a suspension or termination in writing to the Club Committee within 14 days. The committee decides within 14 days of receiving the appeal. A further appeal may be made to BAUSEA's board, whose decision is final.

7.4 Any safeguarding concern is handled under the safeguarding policy and, where required, reported to the authorities, regardless of this article.

Article 8 — Health and safety

8.1 The club keeps a medical and emergency-contact record for every player and has a first-aid kit at every session.

8.2 The club follows the heat, lightning and concussion procedures set out in the membership rules.

8.3 Incidents and injuries are recorded and reported to the parent or guardian the same day.

Article 9 — Records and privacy

9.1 Registration, attendance, payment and incident records are kept securely and used only to run the club, as described in the privacy policy.

Article 10 — Amendment

10.1 These bylaws may be amended by BAUSEA's board, on its own initiative or on a recommendation of the Club Committee. Registered families receive 30 days' notice of any change.

Article 11 — Dissolution

11.1 If the club closes, any remaining club assets stay with BAUSEA and are used for its charitable and educational purposes.
